1. Acceptance of Terms and Conditions (“Terms of Use”)

1.1 AHC Services Ltd. (hereinafter “Eazylio”, “we” or “us”) owns and operates the Site (as defined below), providing a service under the name “Eazylio”. Eazylio’s “Services” consist of an application enabling our users to leverage their Twilio credentials for managing Twilio numbers, making and managing incoming calls, sending and viewing messages, configuring related settings, and viewing call and message logs, and other services as detailed below. These Terms of Use apply to your use of the Service. This Service is intended for use by individuals who are at least 18 years of age.

1.2 We gather diverse information on individuals who interact with businesses through methods facilitated via the Service (collectively, “Service Data”). You concur that we and the service providers assisting in delivering the Service to you have the right to access your account and to use, modify, reproduce, distribute, display, and disclose Service Data as needed to develop, enhance, and provide the Service, including responding to your support requests.

1.3 “Site” refers to https://www.eazylio.com/ and the web application located at console.eazylio.com or other subdomains that may be made available. The Site embodies text, graphics, logos, images, technical information, and other content, alongside available features or services discussed, referenced, provided, or offered through or on the Site (collectively with all information and material about Eazylio and its Services, “Content”). For the purposes of these Terms of Use, the term “Site” also includes the Content, except where the context specifically indicates otherwise.

1.4 PLEASE NOTE: Access to and use of the Service are subject to these Terms of Use, as well as all applicable laws and regulations. Only entities and individuals over the age of legal majority, who can form legally binding agreement(s) under applicable law, are allowed to use the Service and/or establish a Service account where applicable. These Terms of Use must be read carefully. If you do not accept and agree to be bound by any of these Terms of Use, you are not authorized to access or otherwise use the Service. Access to and use of the Service denote your acceptance of and agreement to abide by these Terms of Use. These Terms of Use may be changed, modified, supplemented, or updated by us from time to time by providing you advance notice by posting here, and you will be bound by any such changed, modified, supplemented, or updated Terms of Use if you continue to use the Service after such changes are posted. Unless otherwise indicated, any new Content added to the Service is also subject to these Terms of Use effective upon the date of any such addition. Regular review of the Site and these Terms of Use for updates and changes is encouraged.

2. Non-Affiliation with Twilio:

Eazylio is an independent service provider and is not affiliated with, endorsed by, or associated with Twilio, Inc. We have developed our services to allow users to manage their Twilio numbers and provide functionalities related to Twilio services; however, this does not imply any partnership, sponsorship, or endorsement from Twilio, Inc.

All Twilio-related trademarks, logos, service marks, and trade names used on or in connection with Eazylio’s services are the property of Twilio, Inc. or their respective owners, and Eazylio does not claim any rights in them. The use of Twilio’s name, trademarks, logos, or any other intellectual property is made purely for the purpose of accurately describing the services offered by Eazylio and does not imply any affiliation or endorsement by Twilio, Inc.

Users utilizing Eazylio’s services should be aware that they are bound by Twilio’s terms of service, privacy policy, and other related policies. Eazylio is not responsible for the users’ interactions with Twilio or any outcomes resulting from the use of Twilio’s services through Eazylio. Any concerns, disputes, or issues related to Twilio’s services, trademarks, or intellectual property should be directed to Twilio, Inc. directly.

By using Eazylio’s services, users acknowledge the distinction between Eazylio and Twilio, Inc. and agree not to involve Eazylio in any disputes, issues, or legal matters arising from their interaction with Twilio services. The users are solely responsible for understanding and complying with Twilio’s policies, terms, and conditions while using Eazylio’s platform to interact with Twilio services.

3. Fees and Payments

3.1 Subscription and Fees

By opting for a paid Service, you agree to pay Eazylio the then-current monthly or annual subscription fees indicated for that Service. Fees are charged on the day you sign up for a Service and will cover the use of that Service for the period as indicated, and once paid, fees are non-refundable. You agree to allow Eazylio, or our payment affiliates or service providers, to process and/or store your payment information. Additionally, you agree to pay the applicable fees for the Services as they become due, plus all related taxes, and to reimburse us for all collection costs and interest for any overdue amounts. If you dispute any portion of the fees paid or payable by you pursuant to these Terms, you must notify us in writing within sixty (60) days of the date we bill you for the charge you want to dispute, and we will collaboratively work with you to resolve the dispute promptly.

3.2 Usage Fees and Adjustments

Usage fees, including those for additional services not included in your chosen plan, are non-refundable under any circumstances. Any additional usage will be calculated accordingly, and we exclude identified unnecessary or spam interactions. If any discrepancy is not identified before the billing date and an invoice needs adjustment, please contact our support team. We reserve the right to modify our fees at any time by posting a new pricing structure to our Site or in your account and/or sending you a notification by email.

3.3 Additional Costs

In certain scenarios, Eazylio may incur additional fees related to specific operational costs, which may vary depending on geographical constraints or other circumstances. Eazylio reserves the right to pass these costs on to you, and you agree to pay such costs. The transmission of messages to/from specific carriers may also incur additional network or carrier-access fees, for which you agree to bear responsibility.

3.4 Payment Methods

Eazylio accepts payment methods issued by banks located in regions where our services are offered. Registering for service with a payment method from non-supported banks is a violation of these terms, and users are advised to comply with the accepted payment methods to avoid service disruptions.

4. Description of Services:

4.1 Twilio Management Services:

Eazylio allows clients to insert their Twilio credentials to manage Twilio and verified numbers efficiently. This service includes, but is not limited to, managing calls, routing incoming calls, viewing call and SMS logs, sending SMS, and configuring settings related to Twilio numbers and incoming calls. All actions are performed within Eazylio’s Console, accessible through console.eazylio.com or other available subdomains.

4.2 Call Handling:

Users can make calls directly through Eazylio’s browser or by routing them to the user’s phone number. Eazylio prohibits any form of abuse such as fraudulent calls, misrepresentation, violation of privacy, unauthorized access to user accounts, and any other actions deemed unlawful or harmful.

4.3 Compliance with Twilio’s Terms:

Eazylio operates in tandem with users’ Twilio accounts. Users must adhere to Twilio’s terms of use and privacy policy. Eazylio is not responsible for any repercussions on the user’s Twilio account resulting from the use of Eazylio and does not guarantee Twilio’s ability to carry out specific functions.

4.4 Record Keeping:

Eazylio retains records of calls and messages to facilitate service functionality, as detailed in our privacy policy. Call recordings are stored in your Twilio account, with Eazylio providing the recording URL made available by Twilio. Eazylio holds no responsibility for any failures in Twilio recording the calls or supplying a recording URL.

4.5 Limitations on Call Recording:

The call recording feature is exclusive to 1:1 calls and does not extend to browser calls converted to a conference.

4.6 Account Tiers:

Free Account:

Users can register for a free account with limited functionality, as detailed on the Services section of the website, subject to change at Eazylio’s discretion without prior notice. Eazylio reserves the right to terminate the functions of the free account at any time.

Premium Account:

For a subscription fee, users can access an unlimited number of calls and messages, subject to a non-abuse policy to prevent overutilization, unlawful actions, and disruptions to service integrity.

Enterprise Account:

Users opting for an enterprise account receive a customized subscription, inclusive of a unique subdomain for service usage.

4.7 Service Descriptions and Modifications:

Service descriptions are available on the Services section of the website. Eazylio may modify, cease, or introduce new services at any time. Users retain the right to request a pro-rata refund for the remaining subscription period if alterations impact the ability to make/receive calls or send/view SMS.

4.8 Twilio Account Responsibility:

Users are responsible for the activities and the security of their Twilio accounts while using Eazylio. Any damage or loss incurred to the Twilio account due to user actions on Eazylio is not under Eazylio’s liability.

4.9 Account Limitations:

Free accounts are subject to limitations on calls, messages, and other functionalities, which may be revised or terminated at Eazylio’s sole discretion.

4.10 Non-Abuse Policy:

All users, especially those with premium accounts, are required to adhere to Eazylio’s non-abuse policy, avoiding excessive usage and any activities that compromise the integrity and lawful operations of Eazylio services.

4.11 Service Adjustments:

Any alterations in the service functionalities, including upgrades, reductions, or introductions of new features, will be communicated appropriately, and affected users will have recourse to refunds where applicable.

5.1. License Grant:

Eazylio grants you a limited, non-exclusive, and revocable license to access and use the Service in compliance with the terms stipulated in these Terms of Use. Eazylio, or the respective third-party owners, retain all rights, titles, and interests in the Service, its features, and services offered therein, inclusive of all copyrights, trademark rights, service mark rights, and all other intellectual property rights inherent. All rights not expressly granted are reserved by Eazylio or the respective third-party owners. Any unauthorized usage will result in the termination of the permissions or license granted by Eazylio.

5.2. Copyright & Ownership:

Except where explicitly stated, the Service, including all content therein, is the copyrighted work of Eazylio or its third-party content providers and is protected by U.S. and international copyright laws. Users are permitted to download information from the Service and print out a hard copy for personal use, provided all copyright and other notices remain intact and unaltered. Unless explicitly stated, users may not alter, modify, copy, distribute, transmit, display, perform, reproduce, reuse, post, publish, license, download, store for subsequent use, create derivative works from, transfer, or sell any information or Content obtained from the Service, in whole or part, including any text, images, audio, video, and software, without the prior written authorization of Eazylio or applicable third-party suppliers. Unauthorized use of the Service may breach copyright laws, trademark laws, privacy and publicity laws, and other relevant regulations and statutes.

Eazylio does not assert or guarantee that your utilization of the Service will not infringe upon the rights of third parties. In case of a belief that the Service violates or infringes upon intellectual property rights under Title 17, United States Code, Section 512(c)(2), please notify Eazylio immediately with all necessary specifics for us to consider and respond to your complaint. You may need to provide additional information and follow supplementary procedures for us to act on your complaint.

6. Ownership and Use of Information Submitted via the Service

You retain ownership of your Service Data, which will be maintained in accordance with our Privacy Policy at www.eazylio.com/privacy. Eazylio reserves the right to use any ideas, concepts, know-how, feedback, suggestions, or techniques contained in any communication you send to us via the Service or by any other means for any purpose whatsoever, without any obligation to you.

When you submit any material or information protected by intellectual property rights or other rights (e.g., Service Data, photos, videos, articles, etc.) to the Service, you represent, warrant, and covenant to Eazylio that you possess the necessary rights to disclose, copy, and display such information. Additionally, you grant Eazylio a non-exclusive, transferable, sub-licensable, royalty-free, global license to use any content that you post on or in connection with the Service. This license persists until you delete such content or your account, except in cases where your content has been shared with others, and they have not deleted it.

Notwithstanding the aforementioned, you hereby grant Eazylio a non-exclusive, perpetual, irrevocable right and license to use, copy, transmit, modify, and display Service Data, provided such data is: (a) collected, used, and disseminated in aggregated and anonymized form; and (b) utilized solely for internal business purposes and for enhancing the Services.

Use of Service Data for Improvement:

Eazylio values user contributions to improve our Service and may use submitted information, feedback, or data to refine and develop our platform further. However, any utilization of such data will be conducted with respect to user rights and privacy, ensuring no compromise on user confidentiality and proprietary information. The integrity and trust of our users remain our paramount concern in utilizing Service Data for enhancements.

Acknowledgment of Non-Affiliation:

Users acknowledge that Eazylio is independent and not affiliated, endorsed, or associated with any third-party services, including Twilio, Inc. Any interactions or usage of such third-party services are the sole responsibility of the users, and Eazylio bears no liability for any consequences arising from such interactions or usage. The use of third-party names, trademarks, or services is purely descriptive and does not imply endorsement, partnership, or ownership. Users are advised to review and comply with the terms and policies of such third-party services while interacting with them through Eazylio’s platform.

7. Usage Limitations and Requirements

7.1. Prohibited Activities:

In utilizing our Service, you agree not to:

Submit any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or objectionable content;
Misrepresent your identity or affiliation with any individual or entity;
Share material that you are not legally permitted to disclose, display, or transmit;
Distribute malware, corrupted files, or any other similar destructive software;
Remove legal notices, copyrights, or proprietary designations uploaded within the Service;
Distribute unauthorized advertising, promotional materials, or any form of solicitation;
Violate any applicable laws;
Transmit material that infringes upon any intellectual property or privacy rights;
Manipulate, alter, or misuse the Service, or link directly to any portion of the Service without using the main homepage, as per the Limited License;
Use automated or manual means to access or copy content on this Service improperly;
Reverse engineer or modify any part of the Service;
Misuse the Service’s communication features or use the Service for non-business purposes.

7.2. Acceptable Use Policy:

By accessing our Service, you adhere to the Acceptable Use Policy, ensuring the Services are used for professional purposes only and agree not to:

Engage in activities that may subject Eazylio or any third party to liability, damages, legal violations, or danger;
Perform actions that interfere with, disrupt, or breach the security of the Service or related networks;
Attempt unauthorized access to the Services, data, other accounts, computer systems, or networks connected to the Services;
Interfere with another’s use and enjoyment of the Services;
Use the Service for any unlawful, malicious purpose, or in connection with unsolicited messages;
Send calls to life-line services, such as hospitals, fire, police, 911, or utility-related telephone numbers;
Harvest or collect information about others without consent;
Engage in any other activity that Eazylio deems could subject it to criminal liability or civil penalty/judgment.

7.3. Eazylio’s Right to Enforce:

Eazylio is not liable for any misuse of the Services and reserves the right to take lawful actions in response to violations of these Terms of Use, including suspension or termination of access to the Service or cooperating with legal authorities in any investigation. Eazylio may disclose any information as deemed necessary to comply with any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post, or remove any information or materials, at our sole discretion.

8. Monitoring Right

Eazylio does not regularly monitor the everyday use of this Service. Nonetheless, Eazylio retains the right to oversee such use whenever it sees fit, especially in instances that, in our sole judgment, might be illegal, might expose Eazylio to liability, might violate these Terms of Use, or are, in the sole judgment of Eazylio, not aligned with Eazylio’s purpose for the Service.

9. Lack of Control over Third Party Content; No Assurance of Accuracy

As some of the Content in the Service may be supplied by users or third-party content providers, Eazylio has no editorial power or responsibility over such Content. Any opinions, statements, services, or other information expressed or made available by third-party suppliers or users on the Service are theirs alone. Eazylio does not endorse or verify the accuracy or reliability of any opinion, statement, or other information provided by any third party or user, or warrant that your use of the Service or referenced content or service providers will not infringe rights of third parties not affiliated with Eazylio.

10. Hyperlinks to Other Sites

The Service may include hyperlinks to sites not owned or operated by Eazylio. These hyperlinks are provided solely for convenience and reference. We have no control over, responsibility for their content or accuracy, and do not endorse these sites unless explicitly stated. In cases where the Service includes hyperlinks to sites not owned, operated, or maintained by Eazylio, you acknowledge that we are not liable for the content, products, services, or materials available from such sites. Eazylio is under no obligation to maintain any link on the Service and may remove a link at any time for any reason whatsoever. Eazylio is not responsible for the privacy practices of any other sites.

11. Application of Supplementary Terms

Apart from these Terms of Use, additional or different terms and conditions (“Supplementary Terms”) may apply to specific features, Content, or the purchase of Services from Eazylio. You should review all Supplementary Terms carefully before accessing and using such features and Content. These Supplementary Terms are incorporated into and form part of these Terms of Use. In the event of a conflict between these Terms of Use and the Supplementary Terms, the Supplementary Terms shall prevail.

12. Preservation of Rights

Eazylio, at its sole discretion and at any time, reserves the right to deny any account creation requests, terminate accounts and subscriptions to the Service, remove any content from the Service, and modify, limit, suspend or discontinue the Service or any subscriptions to the Service, temporarily or permanently. Eazylio is not liable for any modifications, suspensions, or discontinuances of the Service or subscriptions and has no obligation to refund any fees paid pursuant to these Terms of Use.

13. Privacy Notice and Procedures

13.1 Our Privacy Notice outlines Eazylio’s practices and procedures regarding the collection of personal information at this Service. We strongly encourage you to read our Privacy Statement and Notice of Privacy Practices, accessible through the Service’s homepage. You consent to our use of personal information as outlined in our Privacy Statement and Notice of Privacy Practices. Both parties agree to comply with the Eazylio Data Processing Addendum for Customers (“DPA”), and references to “personal information” in these Terms of Use have the same meaning as references to Personal Data in the DPA.

13.2 You represent and warrant that you have complied and will comply with all applicable laws regarding any personal information you upload to the Service or otherwise provide to Eazylio in connection with the Service. You agree to notify Eazylio promptly if any use of personal information related to the Service may violate these representations and warranties.

14. Limited Assurance and Disclaimer of Warranty

14.1. Eazylio has endeavored to offer content and information on this Service as a convenience to its users. It is not designed to serve as advice or recommendations on which users should depend. While Eazylio has employed reasonable effort to present accurate, complete, and quality information and material, it extends no warranty or assurance regarding the reliability, adequacy, or accuracy of the Service, including but not limited to the Content or any other information found on or linked to the Site or any other service or site maintained or provided by Eazylio. Any reliance on the Service’s Content or other information is at the user’s own risk. The terms and conditions applicable to any purchases of products or services from Eazylio or a third party, if divergent from these Terms of Use, will govern such purchases and don’t in any manner affect them by the use of this Service.

14.2. THE SERVICE IS PROVIDED “AS IS” OR “AS AVAILABLE,” AND EAZYLIO HEREBY DISAVOWS ALL ASSURANCES AND CONDITIONS REGARDING THE SERVICE, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A SPECIFIC USE, TITLE, NON-VIOLATION OF THIRD-PARTY RIGHTS, QUIET ENJOYMENT, AND ACCURACY. EAZYLIO OFFERS NO ASSURANCE THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, FREE OF VIRUSES, OR ERROR-FREE, OR THAT ANY SUCH ISSUES WILL BE RECTIFIED. USERS ARE RESPONSIBLE FOR COMPLYING WITH THE LAWS OF THEIR JURISDICTION WHEN USING THE SERVICE.

15. Restriction of Liability

Eazylio shall not, in addition to the disclaimers of warranty above, be accountable for any consequential, special, incidental, or exemplary damages, including but not limited to losses of profits, revenue, data, or economic advantage arising from or relating to the use or inability to use the Services, EVEN IF EAZYLIO WAS AWARE OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF SUCH DAMAGES. The total cumulative liability of Eazylio in connection to the Services will not exceed the GREATER of one hundred dollars ($100.00) or the fees paid by the user in the preceding one-month period in connection with the use of the Services. Eazylio shall not be liable for more than five hundred dollars ($500.00) in any event.

16. Disclaimer of Warranty and/or Limitation of Liability May Not Be Applicable

The warranty disclaimers, exclusions, and limitations of liability under this limited warranty might not be applicable to the extent prohibited by applicable law, as some jurisdictions do not allow the exclusion of implied warranties or the limitation or exclusion of liability for incidental or consequential damages. This warranty provides specific legal rights, but users may also have other rights varying from jurisdiction to jurisdiction.

17. Adherence to All Laws

Users represent and assure that their use of the Services will adhere to Eazylio’s Privacy Notice, these Terms of Use, and any other applicable laws and regulations. The users further represent and assure that their collection and usage of personal information or technical data will comply with all relevant laws and regulations pertaining to privacy, confidentiality, security, disclosure, reporting, and other obligations related to the possession or use of any personal information or technical data. The failure to comply will result in immediate suspension and/or termination of the user’s account and may result in civil and/or criminal liability. Users are responsible for determining the suitability of the Service in light of their obligations under any regulations. Eazylio will not be liable if the Service does not meet those requirements, and users acknowledge that certain Services are not suitable for the interaction with any protected health information or special categories of personal data unless specified agreements and subscriptions are in place.

18. Indemnification

You consent to defend, indemnify, and absolve Eazylio, its members, affiliates, and/or partners, including their officers, directors, partners, shareholders, agents, licensees, and employees (collectively “Eazylio Indemnitees”) from any and all claims, actions, liabilities, losses, expenses, damages, and costs, including but not limited to legal fees that may arise at any time, due to or relating to your authorized, unauthorized, lawful, or unlawful use of the Services, breach of these Terms of Use, inability to access the Service, use of any linked websites, reliance on any inaccuracies or omissions in the Service, propagation and/or contraction of any computer virus in connection with your use of the Service, or any violation of laws or regulations.

19. Duration and Termination

19.1. These Terms of Use, subject to periodic updates, commence on the date you accept them and persist until terminated in accordance with Sections 19.3 or 19.4 below.

19.2. Trial Period. The Service may incorporate a free trial period (specified when subscribing to the Service), post which, usage of the Service will endure at the fees for the chosen plan until terminated.

19.3. Duration. For a month-to-month term, either party may terminate these Terms of Use by giving thirty (30) days notice to the other party. For an annual term, these Terms of Use persist for twelve months and automatically renew for successive one (1) year terms, unless non-renewal notice is given at least thirty (30) days prior to the end of the current term.

19.4. Termination for Breach. Any party may terminate these Terms of Use if the other party does not remedy any material breach within thirty (30) days after receiving written notice of such breach.

20. Force Majeure

No party is liable for any failure or delay in performance due to any cause beyond their, or their contractors’, agents’ or suppliers’ reasonable control, such as utility or transmission failures, power failure, labor disturbances, acts of God, acts of war or terror, floods, sabotage, fire, and other disasters.

21. Notices

Eazylio’s notices to you about the Service or these Terms of Use will be disclosed on this Site or delivered via e-mail. Your notices to Eazylio must be sent to the contact detailed in the “How to Contact Us” section below.

22. Electronic Communications

When you visit this Site, use the Service or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically. Communications will be done through e-mail or by posting notices on this Site. You agree that all provided agreements, notices, disclosures, and other communications satisfy any legal requirements that such communications be in writing. Any notices provided by us electronically are considered to be given and received on the date we transmit any such electronic communication as outlined in these Terms of Use.

23. Entire Agreement

These Terms of Use, along with the Privacy Notice Practices, and any Other Terms or policies posted on this Site, constitute the entire agreement between you and us regarding your use of the Service and override any previous agreements between you and us regarding use of this Service.

24. Governing Law; Jurisdiction; Venue; Severability of Provisions

These Terms of Use are governed by the laws of Ontario, Canada, without regard to its conflict of law provisions. All sections of these Terms of Use apply to the maximum extent permitted by law. We both agree that if a portion of these Terms of Use cannot be enforced as written, then that section will be replaced with terms that most closely match the intent of the non-enforceable section, to the extent permitted by law. The invalidity of part of these Terms of Use will not affect the validity and enforceability of the remaining provisions. The section headings are for convenience only and do not have any force or effect.

Unless otherwise prohibited by law, any claim or dispute must be brought within one (1) year from the date the cause of action arises. Any claim or dispute arising out of or relating to these Terms of Use shall be subject to the exclusive jurisdiction of courts located in Toronto, Ontario, and you hereby consent and submit to the personal jurisdiction of such courts.

25. Account, Passwords, and Security

If you have been granted the option to open an account through the Service, providing you access to password-protected portions of the Service, you must complete the registration process by providing current, complete, and accurate information. You are solely responsible for maintaining the confidentiality of your password and account and for any activities that occur under your account. You agree to immediately notify Eazylio of any unauthorized use of your account or any other breach of security and to completely exit from your account at the end of each online session. Eazylio will not be liable for any loss incurred as a result of someone else using your password or account, with or without your knowledge. However, you could be held liable for losses incurred by Eazylio or another party due to someone else using your account or password. You may not use anyone else’s account at any time.

26. No Agency Relationship

These Terms of Use are not intended to create any partnership, joint venture, employment, or other agency relationship between us. You may not enter into any contract on our behalf or bind us in any way.

27. Publicity

You consent that Eazylio may reference you and your company as a client of Eazylio’s products and services in Eazylio’s advertising and marketing.

28. Confidentiality

28.1. “Confidential Information” is any disclosed information, regardless of its form, marked or designated as confidential or proprietary, or should be reasonably understood to be confidential. The receiving party agrees to use the Confidential Information solely in accordance with these Terms of Use and will not disclose such information to any third party without prior written consent, except as permitted herein; however, Eazylio may use and disclose your Confidential Information as necessary to provide the Services. The receiving party will exercise due care in protecting Confidential Information from unauthorized use and disclosure.

28.2. The receiving party may disclose the Confidential Information as required by applicable law, provided that the disclosing party is promptly notified in writing, allowing the disclosing party a reasonable opportunity to resist such disclosure and/or seek a protective order. In the event that such protection against disclosure is not obtained, the receiving party will disclose the Confidential Information, but only as and to the extent necessary to legally comply with such compelled disclosure.

28.3. The parties agree that no adequate remedy may exist at law for an actual or threatened breach of this Section 28, and that, in the event of an actual or threatened breach of this section, the non-breaching party will be entitled to seek immediate injunctive and other equitable relief.
